5. Payments, Fees, and Refunds
- Fees: Quoted in service agreements; payable via bank transfer, mobile money (e.g., Airtel Money, TNM Mpamba), or other agreed methods. All fees exclude VAT (16% in Malawi) unless stated.
- Payment Terms: Invoices due within 30 days; late payments incur 1.5% monthly interest.
- Refunds: Non-refundable deposits apply; refunds for incomplete services prorated at our discretion. No refunds for completed deliverables.
- Taxes: You are responsible for applicable taxes; we may collect on your behalf where required.
We use secure payment processors; you agree to their terms.
6. Limitation of Liability
To the fullest extent permitted by law, Bytedge Solutions shall not be liable for indirect, incidental, consequential, or punitive damages arising from:
- Use or inability to use our website/services.
- Errors, delays, or interruptions in delivery.
- Unauthorized access, data loss, or third-party actions.
Our total liability is limited to fees paid for the specific service. Services are provided "as is" without warranties beyond those in agreements. We do not guarantee uninterrupted or error-free performance.
7. Indemnification
You agree to indemnify and hold harmless Bytedge Solutions, its affiliates, officers, and employees from claims, losses, or damages arising from your use of services, violation of Terms, or infringement of third-party rights.
8. Termination and Suspension
We may suspend or terminate access if you breach Terms, fail payments, or engage unlawful conduct. Termination does not relieve obligations like payment or confidentiality. Upon termination, you must cease using services and destroy any proprietary materials.
9. Third-Party Links and Services
Our website may link to third-party sites/services. We are not responsible for their content, privacy, or practices. Use at your own risk; review their terms.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malawi, without regard to conflict principles. Disputes shall be resolved exclusively in the courts of Blantyre, Malawi. For international users, arbitration under Malawi’s Arbitration Act may apply per agreement. You waive jury trials and class actions.
11. Force Majeure
We are not liable for delays/failures due to events beyond control, including natural disasters, cyberattacks, or governmental actions.
12. Miscellaneous
- Severability: Invalid provisions do not affect others.
- Waiver: No waiver of rights unless written.
- Entire Agreement: These Terms, plus service agreements, constitute the full understanding.
- Assignment: We may assign rights; you may not without consent.
